Agreement to Terms

By accessing or using the website www.greatfalls.cpa (the "Site") operated by Great Falls CPA ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site.

We reserve the right to modify these Terms at any time. Your continued use of the Site following the posting of changes constitutes your acceptance of such changes.

Description of Services

Great Falls CPA provides professional accounting services for non-profit organizations, including but not limited to:

  • Form 990 preparation and filing
  • QuickBooks Online consulting and cleanup
  • Audit and assurance services
  • Financial advisory services

The specific scope, deliverables, and fees for any engagement will be set forth in a separate engagement letter or service agreement.

Professional Relationship

No Professional Relationship: Your use of this Site does not create a client-accountant relationship between you and Great Falls CPA. A professional relationship is only established when you have signed an engagement letter and we have agreed to provide services to you.

No Professional Advice: The information provided on this Site is for general informational purposes only and does not constitute professional accounting, tax, or legal advice. You should consult with a qualified professional before making any financial or tax decisions.

Confidentiality: Information submitted through this Site before an engagement letter is signed may not be protected by accountant-client privilege. Do not submit sensitive financial information through the Site until a formal engagement has been established.

Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any portion of the Site
  • Use the Site to transmit any harmful or malicious code

Payment Terms

Fees for professional services will be outlined in your engagement letter. Unless otherwise specified:

  • Invoices are due upon receipt
  • Payment is expected within 30 days of invoice date
  • Late payments may be subject to interest charges
  • We reserve the right to suspend services for non-payment

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GREAT FALLS CPA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from your use of the Site or our services shall not exceed the amount you paid us for services during the twelve (12) months preceding the claim.

Disclaimer of Warranties

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Indemnification

You agree to indemnify, defend, and hold harmless Great Falls CPA and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site or your violation of these Terms.

Termination

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason, including breach of these Terms.

Either party may terminate a professional engagement in accordance with the terms of the applicable engagement letter. Upon termination, you are responsible for payment of all fees incurred through the date of termination.

Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of the Site shall first be addressed through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

Any arbitration shall take place in Montgomery County, Maryland, and the arbitrator's decision shall be final and binding.

Governing Law

These Terms and your use of the Site shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Montgomery County, Maryland.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
